TH lodges police report on ‘illegal’ dividend payments made in 2017

Tabung Haji identifies two working papers presented to the board of directors which convinced board to recommend to minister that dividends be paid.

Lembaga Tabung Haji (TH) has lodged a police report over the declaration of hibah (dividend) in 2017, which it said was against the Tabung Haji Act 1995.

The report, lodged at the Dang Wangi police station today, mentioned incorrect figures in financial statements presented to the board and how representations by key executives led to the declaration of hibah.

It was earlier reported that TH had illegally paid dividends to its depositors in 2017.

In the police report, TH identified two executive working papers presented to the board of directors of TH at two special board meetings — on Feb 6 and Feb 9, 2018.

Today’s police report is the third by the new board and management, which undertook a holistic review of TH’s financial position, after their appointment in July 2018.

TH said in a statement that the executive working papers were prepared by the then group chief financial officer Rozaida Omar and supported by the then group managing director and chief executive Johan Abdullah.

“The executive working papers contain statements and representations which led to incorrect figures being reflected in the said financial statements, which were accepted by the board.

“On the basis of the said financial statements, the board of directors of TH made a recommendation to the minister responsible, who then approved the declaration of distributable hibah for financial year 2017 of ‘hibah tahunan’ of 4.5% and ‘hibah haji’ of 1.75%, in contravention of section 22 of the Tabung Haji Act 1995.”

According to the Tabung Haji Act 1995, TH can only pay dividends to its depositors when its assets at the end of that year are more than its liabilities, and there are distributable profits. This, the new TH board says, was not the case in 2017.

It said the audited financial statements of TH for the financial year ended Dec 31, 2017 were signed off on April 3, 2018 by the then chairman, Abdul Azeez Abdul Rahim, and Johan on behalf of the TH board and by Rozaida as the principal officer primarily responsible for the financial management and accounting records of TH.
